Welcome to Fanvault. These Terms of Service ("Terms") govern your access to and use of the Fanvault website (https://fanvault.shop/), our associated domains (including fanvaultshop.com, fanvault.ai, and fanvault.me), mobile applications, AI assistant (including via Telegram), and any related services (collectively, the "Services" or "Platform"). Fanvault is operated by Fanvault Shop Inc. ("Fanvault," "we," "us," or "our").

By accessing, browsing, or using the Services, or by clicking "I Accept" during account registration, you agree to be bound by these Terms, our Privacy Policy, and our Complaints Policy. If you do not agree to these Terms, you may not access or use the Services.

Please read these Terms carefully, including the Binding Arbitration and Class Action Waiver provisions in Section 13, which affect your legal rights.

1. Eligibility

You must be at least 18 years of age to create an account on Fanvault, whether as a Creator or a Fan. By creating an account, you represent and warrant that: (a) you are at least 18 years old; (b) you have the legal capacity to enter into a binding contract; (c) you are not prohibited from using the Services under any applicable law; and (d) all registration information you submit is accurate and truthful. Fanvault reserves the right to request proof of age and identity at any time and to terminate accounts that fail to meet these requirements.

2. The Fanvault Platform

Fanvault is a creator-first marketplace and community platform that enables Creators to monetize their content and connect with their Fans through a variety of features, including:

  • Authenticated Collectibles and Memorabilia: Creators can list and sell physical items (such as props, outfits, signed merchandise, and other one-of-a-kind items from their content) as authenticated collectibles.
  • Wish List Items: Creators can publish wish lists, and Fans can purchase items from those lists as gifts or gestures of support.
  • Paid Direct Messages (DMs): Fans can pay to send private messages to Creators, and Creators can set their own pricing for DM access.
  • Tipping: Fans can send monetary tips to Creators as a form of appreciation and support.
  • AI Assistant: Fanvault provides an AI-powered assistant to help Creators manage their profiles, set up their storefronts, and optimize their presence on the Platform.
  • Meta/Instagram Connect: Creators can connect their Instagram accounts to verify their identity and link their physical collectibles to their digital content.
  • TikTok Connect: Creators can connect their TikTok accounts via TikTok's Login Kit to verify their identity, give the AI assistant brand context, and (where enabled) push draft posts to their TikTok inbox through TikTok's Content Posting API.

Fanvault provides the platform and facilitates transactions but is not a party to the actual sales contract between a Creator and a Fan. We do not manufacture, store, or inspect the physical items sold through the Platform. Creators are solely responsible for the fulfillment, shipping, quality, and accuracy of the physical items they sell.

3. Account Registration and Security

To use certain features of the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate, current, and complete.
  • Maintain the confidentiality of your account credentials (username and password).
  • Accept responsibility for all activities that occur under your account.
  • Notify Fanvault immediately at support@fanvaultshop.com of any unauthorized use of your account or any other breach of security.

Fanvault will not be liable for any loss or damage arising from your failure to comply with these obligations.

3.1 Creator Accounts

If you register as a Creator, you must successfully complete our identity verification process prior to listing items, activating paid DMs, or receiving payouts. This process is conducted by our third-party verification partners and may require you to provide a government-issued photo ID and a live selfie. Creators must also provide valid payout information (e.g., bank account details and tax information) to receive funds from sales and interactions.

As a Creator, you are solely responsible for:

  • The accuracy and completeness of all item listings and descriptions.
  • The authenticity of all items sold as collectibles.
  • Fulfilling all orders in a timely and professional manner.
  • Complying with all applicable laws, including consumer protection and tax laws.
  • Your interactions with Fans, including the content of paid DMs.

Data Collection Authorization (Scraping): To streamline your onboarding, verification, and the setup of your storefront and wishlists, Fanvault may collect publicly available data from your public social media profiles (such as Instagram, TikTok, Twitter/X, YouTube, etc.) using automated means (e.g., web scraping). By registering as a Creator and linking or providing your social media handles, you authorize Fanvault Shop Inc. to collect and use this public data for these purposes, as further detailed in our Privacy Policy.

3.2 Fan Accounts

If you register as a Fan, you must provide a valid payment method to complete transactions on the Platform. You are responsible for any purchases, tips, paid DMs, or wish list fulfillments initiated from your account, whether or not authorized by you.

4. User Content and Intellectual Property

4.1 Your Content

You retain ownership of the content you post on Fanvault, including text, images, videos, item descriptions, and messages ("User Content"). However, by posting User Content on or through the Services, you grant Fanvault a worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and display your User Content in connection with operating, promoting, and providing the Services, including for the purpose of displaying your storefront and content to other users. This license ends when you delete your User Content or your account, except to the extent your User Content has been shared with others and they have not deleted it.

4.2 Fanvault's Intellectual Property

The Services and their contents, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the property of Fanvault Shop Inc. or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software.

4.3 Copyright Infringement (DMCA)

Fanvault respects the intellectual property rights of others. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our designated copyright agent with the following information: (a) a physical or electronic signature of the copyright owner; (b) identification of the copyrighted work; (c) identification of the infringing material; (d) your contact information; (e) a statement of good faith belief; and (f) a statement of accuracy under penalty of perjury. Our designated agent for copyright notices can be reached at legal@fanvaultshop.com.

5. Acceptable Use and Community Standards

5.1 General Conduct

You agree to use the Services only for lawful purposes and in a manner consistent with these Terms and all applicable laws and regulations. You agree not to:

  • Post, sell, or promote items that are illegal, counterfeit, stolen, or violate the intellectual property or privacy rights of others.
  • Post content that is defamatory, harassing, abusive, threatening, hateful, or that promotes violence or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
  • Engage in fraudulent activities, spamming, phishing, or deceptive practices of any kind.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the integrity or performance of the Services, including attempting to bypass our security measures, payment systems, or rate limits.
  • Scrape, crawl, or use automated means to extract data from the Platform without our express written consent.
  • Use the Services to transmit any malware, viruses, or other harmful code.

5.2 Prohibited Content — No Nudity or Sexually Explicit Material

Fanvault is a brand-safe, creator-first platform. We strictly prohibit nudity, sexually explicit content, and pornography of any kind. This prohibition applies to all User Content, including profile pictures, item listings, paid DMs, and any other content posted on or transmitted through the Platform. Any violation of this policy will result in immediate account termination, potential forfeiture of pending payouts, and may be reported to relevant authorities where required by law.

5.3 Prohibited Items

You may not list or sell items that include, but are not limited to: illegal goods or substances, weapons, hazardous materials, counterfeit goods, items that infringe third-party intellectual property rights, or items that violate any applicable law or regulation.

6. AI Assistant Features

Fanvault offers an AI-powered assistant (accessible via the web application and Telegram) to help Creators manage their profiles, set up their storefronts, draft product descriptions, and perform other platform management tasks.

Authorization. By using the AI assistant, you authorize Fanvault to execute actions on your behalf based on your explicit commands. This may include modifying your profile, creating or editing listings, and adjusting your storefront settings.

Your Responsibility. You are responsible for reviewing and confirming any changes or content generated by the AI assistant before publishing or making them live on the Platform. The AI assistant may make errors or produce inaccurate results.

Disclaimer. Fanvault provides the AI assistant as a convenience tool and makes no warranties regarding its accuracy, reliability, or fitness for a particular purpose. Fanvault is not liable for any errors, inaccuracies, unintended actions, or consequences resulting from your use of the AI assistant. You use the AI assistant at your own risk.

Data Collection. Your interactions with the AI assistant are subject to our Privacy Policy. We may collect and use your interaction data to provide the service and to improve the AI's performance.

7. Social Media Connections (Meta/Instagram and TikTok)

7.1 Meta/Instagram Connect

Creators may choose to connect their Instagram accounts to Fanvault via the Meta Developer API ("Instagram Connect"). This is an optional feature.

Authorization. By connecting your Instagram account, you authorize Fanvault to access specific data from your Instagram account as described in our Privacy Policy, including your profile information, follower metrics, and public media content.

Compliance. You represent and warrant that your use of the Instagram Connect feature complies with Meta's Platform Terms and Developer Policies. You may not use the Instagram Connect feature to violate Meta's terms or to access data beyond what is necessary for the stated purposes.

Disconnection. You may disconnect your Instagram account from Fanvault at any time through your Fanvault account settings. Upon disconnection, we will cease collecting new data from your Instagram account, though we may retain previously collected data in accordance with our Privacy Policy.

No Endorsement. The availability of the Instagram Connect feature does not constitute an endorsement by Meta of Fanvault or its Services.

7.2 TikTok Connect

Creators may optionally connect their TikTok accounts to Fanvault using TikTok's Login Kit. Once connected, Creators can also choose to push draft videos to their TikTok account via TikTok's Content Posting API. Both features are optional and can be disabled at any time.

Authorization and Scopes. When you initiate TikTok Connect, TikTok will ask you to grant Fanvault access to specific scopes, including user.info.basic, user.info.profile, user.info.stats, video.list, and video.upload. You authorize Fanvault to access, store, and use this data and any resulting OAuth access and refresh tokens solely to operate the connected features described in these Terms and in our Privacy Policy.

Content Posting. Fanvault will only initiate a Content Posting API request in response to an explicit action you take inside Fanvault. Fanvault uses the draft-upload (inbox) flow, meaning posts are delivered to your TikTok drafts/inbox for you to review, edit, and publish from within the TikTok app. Fanvault does not auto-publish content to your public TikTok profile unless you later opt into that flow and TikTok has approved the corresponding scope.

Compliance. You represent and warrant that your use of TikTok Connect and the TikTok Content Posting features complies with TikTok's Terms of Service, TikTok Developer Terms of Service, Community Guidelines, and all applicable laws. You are responsible for the legality and rights clearance of any video, image, caption, or other content you ask Fanvault to send to TikTok on your behalf.

Disconnection and Revocation. You can disconnect TikTok at any time from your Fanvault account settings (Dashboard → Settings → Social, the AI page, or the Edit Profile modal), or by revoking Fanvault's access from the TikTok app. Upon disconnection, Fanvault will clear your stored TikTok access and refresh tokens and stop making authenticated TikTok API requests on your behalf. Previously received data may be retained in accordance with our Privacy Policy and applicable law.

No Endorsement. The availability of TikTok Connect does not constitute an endorsement by TikTok, ByteDance, or their affiliates of Fanvault or the Services.

8. Purchases, Payments, and Fees

8.1 Purchases by Fans

When you purchase an item, send a paid DM, fulfill a wish list item, or provide a tip on Fanvault, you agree to pay the stated price, including any applicable taxes and shipping fees. You authorize Fanvault and its payment processors to charge your designated payment method for the total amount.

All sales on Fanvault are final except as expressly provided in our Complaints Policy, in cases where a physical item is significantly not as described, or as required by applicable consumer protection law. The Complaints Policy sets out the specific circumstances, timelines, and evidence required to qualify for a refund, replacement, or other remedy, and distinguishes between physical items (authenticated collectibles, memorabilia, wish list items) and digital interactions (paid DMs, tips, AI assistant features).

Disputes regarding physical item quality, authenticity, or non-delivery should be submitted to our support team at support@fanvaultshop.com within seven (7) days of the delivery date, or within seven (7) days of the expected delivery date if the item was not received. Disputes regarding digital interactions should be submitted within thirty (30) days of the date of the charge.

8.2 Creator Payouts and Platform Fees

Fanvault charges a platform commission on all sales, paid DMs, wish list purchases, and tips processed through the Services. The specific fee structure will be clearly communicated to Creators during onboarding and in their account settings. Fanvault reserves the right to modify its fee structure upon thirty (30) days' notice to Creators.

Payouts to Creators are processed in accordance with our payout schedule, which is available in your Creator account settings. Fanvault holds funds in escrow and releases payouts after a transaction has been completed and any applicable holding period has elapsed.

Refunds, Chargebacks, and Balance Deductions. When a refund is issued to a Fan for a completed transaction, the corresponding amount will be deducted from the Creator's balance or future payouts. Likewise, when a chargeback is filed against a transaction, the disputed amount, along with any chargeback fees imposed by our payment processor, will be deducted from the Creator's balance or future payouts, regardless of the outcome of the chargeback dispute. If the Creator's balance is insufficient to cover these deductions, the Creator agrees to pay Fanvault any outstanding amount. Creators agree to this process as a condition of using Fanvault.

Creators are solely responsible for paying any applicable local, state, federal, or international taxes on their earnings. Fanvault will provide tax forms (e.g., 1099-K) as required by applicable law.

8.3 Chargebacks and Disputes

We strongly encourage users to contact support@fanvaultshop.com before initiating a chargeback or dispute with their card issuer, bank, or payment provider. Most issues can be resolved faster and more effectively by working directly with our support team. A chargeback initiated without first attempting to resolve the matter with us may result in suspension or termination of your account, and repeated or fraudulent chargebacks may result in permanent account termination. Additional details regarding chargebacks are set out in our Complaints Policy.

8.4 Payment Processors

Fanvault uses third-party payment processors (e.g., Stripe) to handle transactions securely. By using the Services to make or receive payments, you agree to be bound by the applicable terms and conditions of our payment processors. Fanvault is not responsible for errors, delays, or failures caused by our payment processors.

9. Creator Obligations and Fulfillment

As a Creator, you agree to:

  • Accurately describe all items listed for sale, including their condition, authenticity, and any relevant history.
  • Ship all sold items within the timeframe specified in your listing or, if no timeframe is specified, within seven (7) business days of the sale.
  • Use Fanvault's provided pre-paid shipping labels where applicable.
  • Respond to Fan inquiries and paid DMs in a timely and professional manner.
  • Cooperate in good faith with our Complaints Policy, including providing documentation, authentication records, and shipping details upon request, and honoring any remedy we determine to be appropriate.
  • Not engage in off-platform transactions to circumvent Fanvault's fees.

Failure to fulfill orders, persistent negative reviews, failure to cooperate with the Complaints Policy, or engagement in fraudulent activity may result in account suspension, termination, and/or withholding of pending payouts.

10. Disclaimers and Limitation of Liability

The services and all items sold through the platform are provided "as is" and "as available" without warranties of any kind, either express or implied. Fanvault expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Fanvault does not guarantee that the services will be uninterrupted, secure, or error-free. We do not warrant the quality, safety, authenticity, or legality of the items listed by creators, nor do we guarantee the truth or accuracy of creator listings or user content.

To the maximum extent permitted by applicable law, Fanvault and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses, resulting from: (a) your access to, use of, or inability to access or use the services; (b) any conduct or content of any third party on the services; (c) any transactions or disputes between you and another user; (d) unauthorized access, use, or alteration of your transmissions or content; or (e) any errors or inaccuracies produced by the AI assistant. In no event shall Fanvault's aggregate liability exceed the greater of $100.00 or the amount you paid to Fanvault in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Fanvault, its affiliates, officers, directors, employees, and agents from and against any and all claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms, our Privacy Policy, or our Complaints Policy; (d) your violation of any third-party right, including intellectual property, privacy, or publicity rights; (e) any dispute between you and another user (e.g., a dispute over a purchased item, fulfillment, or paid DM); or (f) any claim by a third party that your User Content or your use of the Services caused damage to them.

12. Suspension and Termination

We reserve the right to suspend or terminate your access to the Services, or delete your account, at any time, for any reason, with or without notice, at our sole discretion. Reasons for termination include, but are not limited to: violations of these Terms (especially our prohibition on sexually explicit content), fraudulent activity, chargebacks, failure to fulfill orders, failure to cooperate with the Complaints Policy, or prolonged inactivity.

Upon termination, your right to use the Services will immediately cease. You remain liable for any outstanding obligations or pending transactions at the time of termination. Sections 4, 10, 11, 13, and 14 of these Terms shall survive any termination.

13. Governing Law and Dispute Resolution

These Terms and any action related thereto will be governed by the laws of the State of California, without regard to its conflict of laws provisions.

13.1 Binding Arbitration

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services (collectively, "Disputes"), will be settled by binding individual arbitration, except that each party retains the right to: (a) bring an individual action in small claims court; and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Consumer Arbitration Rules then in effect. The arbitration will be conducted in Los Angeles, California, unless you and Fanvault agree otherwise. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.2 Class Action Waiver

You and Fanvault agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Further, unless both you and Fanvault agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, our Complaints Policy, and any other agreements expressly incorporated by reference herein, constitute the entire and exclusive understanding and agreement between Fanvault and you regarding the Services and supersede all prior agreements and understandings.

Changes to These Terms. We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Platform at least thirty (30) days prior to the effective date of the changes. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms.

Severability. If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.

Waiver. Fanvault's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Fanvault.

Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without Fanvault's prior written consent. Fanvault may assign or transfer these Terms without restriction.

Force Majeure. Fanvault will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service provider failures.
